A stock exchange monitors and supervises securities trading and, in accordance with the requirements of the State Council's securities regulatory body, report on abnormal trading.第一百一十一条 在整顿过程中，保险公司的原有业务继续进行，但是金融监督管理部门有权停止开展新的业务或者停止部分业务，调整资金运用。 Article 111 In the course of the rectification, the existing business of the insurance company may be continued. The financial supervision and regulation department shall, however, have the authority to prevent the insurance company from developing new business; or to suspend part of its business; or to modify its application of funds.第一百一十一条质量不符合约定的，应当按照当事人的约定承担违约责任。对违约责任没有约定或者约定不明确，依照本法第六十一条的规定仍不能确定的，受损害方根据标的的性质以及损失的大小，可以合理选择要求对方承担修理、更换、重作、退货、减少价款或者报酬等违约责任。 Article 111 Liabilities in Case of Quality Non-compliance Where a performance does not meet the prescribed quality requirements, the breaching party shall be liable for breach in accordance with the contract. Where the liabilities for breach were not prescribed or clearly prescribed, and cannot be determined in accordance with Article 61 hereof, the aggrieved party may, by reasonable election in light of the nature of the subject matter and the degree of loss, require the other party to assume liabilities for breach by way of repair, replacement, remaking, acceptance of returned goods, or reduction in price or remuneration, etc.第一百一十一条 税法公布前已经办理工商登记的外商投资企业，凡是依照税法施行前的法律、行政法规享有免征、减征企业所得税优惠待遇的，可以继续执行，直至免征、减征期满为止。 Article 111 Preferential treatment in terms of exemptions from and reductions of enterprise income tax enjoyed pursuant to the laws and administrative rules and regulations prior to the entry into force of the Tax Law by enterprises with foreign investment which completed business registration prior to the promulgation of the Tax Law may continue to remain in effect until the termination of the period of exemptions and reductions.第一百一十条 本法自１９９６年１月１日起施行。 Article 111 This Law shall come into force as of January 1,1996第一百一十一条：股东大会、董事会的决议违反法律、行政法规，侵犯股东合法权益的，股东有权向人民法院提起要求停止该违法行为和侵害行为的诉讼。 Article 111 Where a resolution adopted by the shareholders' general committee or the board of directors violates the relevant national statutes or administrative regulations, or infringes on the rights and interests of the shareholders, a shareholder is entitled to bring a suit to the People's Court to enjoin such illegal act or infringing act.第一百一十一条证券交易所应当从其收取的交易费用和会员费、席位费中提取一定比例的金额设立风险基金。风险基金由证券交易所理事会管理。 Article 111. A stock exchange shall deduct a proportionate amount of money from the trading costs, membership fees, and seat fees to set up a risk?bearing fund, which will be managed by the stock exchange administrative board.第一百一十二条：股份有限公司设董事会，其成员为五人至十九人。 Article 112 A joint stock limited company shall have a board of directors, which shall be composed of not fewer than 5 but not more than 19 members.第一百一十二条 税法公布后、施行前办理工商登记的外商投资企业，可以参照本细则第一百一十条、第一百一十一条的规定执行。 Article 112 Enterprises with foreign investment which completed business registration after the promulgation of the Tax Law but prior to the entry into force of the Tax Law may refer to the provisions of Article 110 and Article 111 of these Rules for implementation herein.第一百一十二条当事人一方不履行合同义务或者履行合同义务不符合约定的，在履行义务或者采取补救措施后，对方还有其他损失的，应当赔偿损失。 Article 112 Liability for Damages Notwithstanding Subsequent Performance or Cure of Non-conforming Performance Where a party failed to perform or rendered non-conforming performance, if notwithstanding its subsequent performance or cure of non-conforming performance, the other party has sustained other loss, the breaching party shall pay damages.第一百一十二条 被整顿的保险公司经整顿已纠正其违反本法规定的行为，恢复正常经营状况的，由整顿组织提出报告，经金融监督管理部门批准，整顿结束。 Article 112 Where an insurance company under rectification has already corrected its act in violation of this Law and has resumed its normal business operations, the rectification shall cease after the submission of a report by the rectification task force and obtaining an approval by the financial supervision and regulation department.第一百一十二条证券交易所应当将收存的交易保证金、风险基金存入开户银行专门帐户，不得擅自使用。 Article 112. A stock exchange shall deposit in a special bank account the trading guarantee fund and risk?bearing fund it has collected, and unauthorized use of these funds is not allowed.第一百一十三条当事人一方不履行合同义务或者履行合同义务不符合约定，给对方造成损失的，损失赔偿额应当相当于因违约所造成的损失，包括合同履行后可以获得的利益，但不得超过违反合同一方订立合同时预见到或者应当预见到的因违反合同可能造成的损失。 Article 113 Calculation of Damages; Damages to Consumer Where a party failed to perform or rendered non-conforming performance, thereby causing loss to the other party, the amount of damages payable shall be equivalent to the other party's loss resulting from the breach, including any benefit that may be accrued from performance of the contract, provided that the amount shall not exceed the likely loss resulting from the breach which was foreseen or should have been foreseen by the breaching party at the time of conclusion of the contract.第一百一十三条：董事会设董事长一人，可以设副董事长一至二人。董事长和副董事长由董事会以全体董事的过半数选举产生。 Article 113 The board of directors shall have a chairman, and may have one or two vice-chairmen. The chairman and vice-chairman shall be elected by the board of directors through affirmative votes by a majority of the directors.第一百一十三条 本细则由财政部、国家税务局负责解释。 Article 113 The Ministry of Finance and the State Tax Bureau shall be responsible for the interpretation of these Rules.第一百一十三条 保险公司违反本法规定，损害社会公共利益，可能严重危及或者已经危及保险公司的偿付能力的，金融监督管理部门可以对该保险公司实行接管。 Article 113 Where an insurance company violates the provisions of this Law and hinders the social public interest, by which it might seriously threaten or has already threatened its solvency, the financial supervision and regulation department may implement a take-over of the said insurance company.第一百一十三条证券交易所依照证券法律、行政法规制定证券集中竞价交易的具体规则，制订证券交易所的会员管理规章和证券交易所从业人员业务规则，并报国务院证券监督管理机构批准。 Article 113. A stock exchange shall, in accordance with the Securities Law and the Administrative Law, formulate detailed rules on competitive trading, regulations governing its members, and rules concerning its employees, and shall submit these to the State Council's securities regulatory body for approval.第一百一十四条当事人可以约定一方违约时应当根据违约情况向对方支付一定数额的违约金，也可以约定因违约产生的损失赔偿额的计算方法。 Article 114 Liquidated Damages; Adjustment; Continuing Performance Notwithstanding Payment of Liquidated Damages The parties may prescribe that if one party breaches the contract, it will pay a certain sum of liquidated damages to the other party in light of the degree of breach, or prescribe a method for calculation of damages for the loss resulting from a party's breach.第一百一十四条：董事长行使下列职权： Article 114 The chairman shall exercise the following authorities:第一百一十四条 接管组织的组成和接管的实施办法，由金融监督管理部门决定，并予公告。 Article 114 The composition of the take-over task force and the take-over procedures shall be determined and publicized by the financial supervision and regulation department.
