第一百四十四条出卖人出卖交由承运人运输的在途标的物，除当事人另有约定的以外，毁损、灭失的风险自合同成立时起由买受人承担。 Article 144 Risk Allocation for Subject Matter in Transit Where the seller sells the subject matter which has been delivered to a carrier for transportation and is in transit, unless otherwise agreed by the parties, the risk of damage or loss is borne by the buyer as from the time of formation of the contract.第一百四十四条证券公司及其从业人员不得未经过其依法设立的营业场所私下接受客户委托买卖证券。 Article 144. Securities registration and settlement organizations are non?profit legal entities that provide centralized services including registration and safekeeping of securities, and settlement of stock transactions.第一百四十七条出卖人按照约定未交付有关标的物的单证和资料的，不影响标的物毁损、灭失风险的转移。 Article 147 Passing of Risk Notwithstanding Failure to Deliver Documents Failure by the seller to deliver the documents and materials relating to the subject matter in accordance with the contract does not affect passing of the risk of damage to or loss of the subject matter.第一百四十七条：发起人持有的本公司股份，自公司成立之日起三年内不得转让。 Article 147 Shares of a company held by its sponsors may not be assigned for a period of 3 years commencing from the date of the company's establishment.第一百四十七条 海上保险适用海商法的有关规定；海商法未作规定的，适用本法的有关规定。 Article 147 The Maritime Law of the PRC is applicable to marine insurance. The authority of approval for, and regulatory measures concerning, such assignment or purchase of shares shall be separately prescribed by the relevant national statutes or administrative regulations.第一百四十八条因标的物质量不符合质量要求，致使不能实现合同目的的，买受人可以拒绝接受标的物或者解除合同。买受人拒绝接受标的物或者解除合同的，标的物毁损、灭失的风险由出卖人承担。 Article 148 Rejection on Grounds of Quality Non-compliance; Risk Allocation in Case of Rejection Where the purpose of the contract is frustrated due to failure of the subject matter to meet the quality requirements, the buyer may reject the subject matter or terminate the contract. If the buyer rejects the subject matter or terminates the contract, the risk of damage to or loss of the subject matter is borne by the seller.第一百四十八条 设立外资参股的保险公司，或者外国保险公司在中国境内设立分公司，适用本法规定，法律、行政法规另有规定的，适用其规定。 Article 148 The establishment of a joint-venture insurance company with foreign equity or the establishment of branches within the territory of the PRC by foreign insurance companies shall be governed by this Law, or other laws and administrative regulations if they provide otherwise.第一百四十八条证券登记结算机构履行下列职能： Article 148. Securities registration and settlement organizations are to execute the following functions:第一百四十九条：公司不得收购本公司的股票，但为减少公司资本而注销股份或者与持有本公司股票的其他公司合并时除外。 Article 149 A company may not purchase its own shares, except in the case of share cancellation for the purpose of reducing the company's capital, or in the case of merger with another company holding shares of the company.第一百四十九条标的物毁损、灭失的风险由买受人承担的，不影响因出卖人履行债务不符合约定，买受人要求其承担违约责任的权利。 Article 149 Right to Remedy Notwithstanding Assumption of Risk Buyer's assumption of the risk of damage to or loss of the subject matter does not prejudice its right to hold the seller liable for breach of contract if the seller rendered non-conforming performance.第一百四十九条 国家支持发展为农业生产服务的保险事业，农业保险由法律、行政法规另行规定。 Article 149 The State encourages those insurance businesses which facilitate the development of agricultural production. Registration of securities and settlement of stock transactions shall be centralized and unified in China.第十四 条禁止经营者与交易相对人达成下列垄断协议： Article 14: Any following agreements among undertaking and counterparty are prohibited:第十五条对外商投资企业和外国企业征收营业税，按照全国人民代表大会常务委员会的有关决定执行。 Article 15 The collection of Business Tax from foreign investment enterprises and foreign enterprises shall be conducted in accordance with the resolutions of the Standing Committee of the National People's Congress.第十五条 申请开办私营企业，必须持有关证件向企业所在地工商行政管理机关办理登记，经核准发给营业执照后，始得营业。 Article 15 When applying for establishing a private enterprise, the applicant shall register with the local department in charge of administration of industry and commerce by the related certificates. Upon the ratification and the issuing of its business license, the private enterprise can conduct its business operations.
