- 依法必须进行招标的项目的投标人有前款所列行为尚未构成犯罪的，处中标项目金额千分之五以上千分之十以下的罚款，对单位直接负责的主管人员和其他直接责任人员处单位罚款数额百分之五以上百分之十以下的罚款； If a bidder of a project subject to tender according to law commits an act set forth in the preceding paragraph and does not commits a crime, the said bidder shall be imposed a fine exceeding 0.5 per cent and not exceeding 1 per cent of the sum of the winning project, the person-in-charge directly responsible and other persons directly responsible of the bidder shall be imposed a fine exceeding 5 per cent and not exceeding 10 per cent of the fine imposed on the bidder;
- 仲裁委员会对双方当事人自行达成和解后申请撤销的案件和按照第四十四条第四款作出裁决的案件,可以视工作量的大小和实际开支的多少,收取仲裁费。 If a case is withdrawn after the parties have reached between themselves an amicable settlement or is concluded with an arbitral award made according to paragraph 4 of Article 44, the Arbitration Commission may charge a certain amount of fees from the parties in consideration of the quantity of work and the amount of the actual expenses incurred by the Arbitration Commission.
- 会计师事务所提出辞聘的，应当向股东大会说明公司有无不当情事。 If a certified accountants office quits, it shall state to the shareholders meeting whether or not there is anything improper in the company.
- 纳税人因住所、经营地点变动而涉及改变税务登记机关的，应当在向工商行政管理机关申请办理变更或注销登记前或者住所、经营地点变动前，向原税务登记机关申报办理注销税务登记，并向迁达地税务机关申请办理税务登记。 If a change in a taxpayer's place of residence or place of business operations necessitates an alteration of its relevant taxation registration authority, the taxpayer shall, before applying to the administrative authority for industry and commerce to amend or cancel its registration and before changing its place of residence or place of business operations, present the relevant certificate to the original taxation registration authority to apply for cancellation of its taxation registration and shall carry out tax registration procedures with the relevant taxation authority in the new region.
- 联合体中标的，联合体各方应当共同与招标人签订合同，就中标项目向招标人承担连带责任。 If a consortium wins the bid, the parties thereto shall jointly enter into a contract with the tenderer and assume joint and several liability over the winning project to the tenderer.
- 因不可抗力不能履行合同的，不适用前两款规定。 If a contract is unable to be performed due to force majeure, the provisions of the preceding two paragraphs shall not apply.
- 合作企业违反前款规定，不在中国境内设置会计帐簿的，财政税务机关可以处以罚款，工商行政管理机关可以责令停止营业或者吊销其营业执照。 If a contractual joint venture, in violation of the provisions prescribed in the preceding paragraph, does not establish its account books within the territory of China, the financial and tax authorities may impose a fine on it, and the administrative authorities for industry and commerce may order it to suspend its business operations or may revoke its business license.
- 没有总部或者无法通过总部及总部指定的机构向中国反洗钱监测分析中心报送可疑交易报告的，其报告方式由中国人民银行另行确定。 If a financial institution has no headquarters or it is impossible for it to report suspicious transactions to the anti-money laundering monitoring and analysis center via its headquarters or any other institution appointed by its headquarters, the reporting method shall be separately determined by the People's Bank of China.
- 外资企业与外国的公司、企业或者个人签订经济合同，适用《中华人民共和国涉外经济合同法》。 If a foreign-capital enterprise concludes economic contracts with any foreign company, enterprise or individual, the Law of the People's Republic of China on Economic Contracts Involving Foreign Interests shall be applied.
- 外资企业如存在前款第（二）、（三）、（四）项所列情形，应当自行提交终止申请书，报审批机关核准。审批机关作出核准的日期为企业的终止日期。 If a foreign-capital enterprise falls under any of the circumstances as stipulated in Items (2), (3) and (4) of the preceding paragraph, it shall submit, of its own accord, an application for the termination of business operations to the examining and approving organ for verification and approval. The date of approval after verification by the examining and approving organ shall be the date of the said enterprise's termination.
- 上级公司登记机关强令下级公司登记机关对不符合规定条件的公司登记申请予以登记，或者对违法登记进行包庇的，对直接负责的主管人员和其他直接责任人员依法给予行政处分。构成犯罪的，依法追究刑事责任。 If a higher level company registration authority orders a lower level company registration authority to register a company which does not meet the registration requirements as provided, or covers up an unlawful registration, the personnel in charge of the matter who have direct responsibility and such other persons with direct responsibility shall be subject to administrative sanctions in accordance with the law. If the violation constitutes a criminal offence, criminal responsibility shall be investigated in accordance with the law.
- 被许可人异地从事保险违法行为的，由违法行为发生地的派出机构进行查处。 If a licensee is engaged in an illegal activity in a place outside its registered locality, the local agency of the place where the illegal activity occurs shall be responsible for investigation and handling.
- 合伙人委托的清算人有前款行为的，责令将该收入和侵占的财产退还合伙企业，并依法承担赔偿责任；构成犯罪的，依法追究刑事责任。 If a liquidating member appointed by the partnership commits any act referred to in the previous paragraph, such person shall be ordered to revert such income or converted property back to the partnership, and shall be liable for damages in accordance with the law; where such action constitutes a crime, criminal liability shall be pursued in accordance with the law.
- 在规定期限内将通知按照法定地址或者约定的地址邮寄的，视为已经发出通知。 If a notice is mailed to a legal address or to an address agreed upon within the prescribed period of time, the notice is deemed to have been dispatched.
- 当事人逾期不申请复议也不向人民法院起诉，又不履行处罚决定的，作出处罚决定的机关可以申请人民法院强制执行。? If a party concerned fails to apply for a review or bring the case before the people's court and yet refuses to implement the punishment decision, the organ which has taken the decision may apply with the people's court for compulsory enforcement.
- 合作开发的当事人一方不同意申请专利的，另一方或者其他各方不得申请专利。 If a party in the cooperative development does not consent to the application for patent, the other party or parties may not apply for patent.
- 一方以欺诈、胁迫的手段或者乘人之危，使对方在违背真实意思的情况下订立的合同，受损害方有权请求人民法院或者仲裁机构变更或者撤销。 If a party induced the other party to enter into a contract against its true intention by fraud or duress, or by taking advantage of the other party's hardship, the aggrieved party is entitled to petition the People's Court or an arbitration institution for amendment or cancellation of the contract.
- 人民法院裁定撤销裁决的，应当裁定终结执行。撤销裁决的申请被裁定驳回的，人民法院应当裁定恢复执行。 If a people's court rules to cancel an award, it shall rule to terminate enforcement. If the people's court overrules the application for cancellation of an award, it shall rule to resume enforcement.
- 依法必须进行招标的项目，其评标委员会由招标人的代表和有关技术、经济等方面的专家组成，成员人数为五人以上单数，其中技术、经济等方面的专家不得少于成员总数的三分之二。 If a project must be subject to tender according to law, the bid assessment committee shall be composed of the representative of the tenderer and experts in the related technological and economic fields, and the number of committee members shall be an odd number at or above five, of the members, experts in technological and economic fields may not be less than two-thirds of the total members.
- 招标项目属于建设施工的，投标文件的内容应当包括拟派出的项目负责人与主要技术人员的简历、业绩和拟用于完成招标项目的机械设备等。 If a project subject to tender is a construction project, the contents of the bid documents shall contain the profiles and business performances of the persons-in-charge of the project and major technical personnel to be appointed as well as machinery and equipment to be employed for the project.
- 招标项目需要划分标段、确定工期的，招标人应当合理划分标段、确定工期，并在招标文件中载明。 If a project subject to tender needs to be divided into bid lots or to determine the construction period, the tenderer shall reasonably make such division or decision and shall state it in his tender documents clearly.
- 申请有错误的，申请人应当赔偿被申请人因财产保全所遭受的损失。 If a property preservation order is unfounded, the applicant shall compensate the party against whom the order was made for any losses sustained as a result of the implementation of the property preservation order.
- 复议机关逾期不作出复议决定的，当事人可以在复议期满之日起十五日内向人民法院起诉。 If a review organ fails to take a decision within the time limit, the party concerned may bring the case before the people's court within 15 days starting from the date of expiry of the review period.
- 依法招标的科研项目允许个人参加投标的，投标的个人适用本法有关投标人的规定。 If a scientific research project subject to tender according to law allows individual persons to participate in bidding, the provisions of this Law on bidders shall apply to individual persons participating in bidding.
- 证券交易所采取技术性停牌或者决定临时停市，必须及时报告国务院证券监督管理机构。 If a stock exchange introduces technical measures to stop listings or decides to temporarily halt trading, it must immediately report this to the State Council's securities regulatory body.
