- 第一百零三条进入证券交易所参与集中竞价交易的，必须是具有证券交易所会员资格的证券公司。 Article 103. The securities companies that participate in collective trading through bidding at a stock exchange must be those that hold stock exchange membership.
- 第一百零四条 保险公司的资金运用必须稳健，遵循安全性原则，并保证资产的保值增值。 Article 104 An insurance company shall apply its funds in a conservative, sound and safe manner and ensure that the value of its assets is maintained and increased.
- 第一百零四条债权人可以随时领取提存物，但债权人对债务人负有到期债务的，在债权人未履行债务或者提供担保之前，提存部门根据债务人的要求应当拒绝其领取提存物。 Article 104 Taking Delivery of Subject Matter in Escrow Conditional upon Performance; Time Limit The obligee may take delivery of the subject matter in escrow at any time, provided that if the obligee owes performance toward the obligor that is due, prior to the obligee's performance or provision of assurance, the escrow agent shall reject the obligee's attempt to take delivery of the subject matter in escrow as required by the obligor.
- 第一百零四条 对税法第十九条第二款和本细则第六十七条规定的扣缴义务人，税务机关可以按照其扣缴税额的一定比例付给扣缴手续费，具体办法由国家税务局制定。 Article 104 Tax authorities may pay withholding agents as specified in Article 19, paragraph 2 of the Tax Law and Article 67 of these Rules a handling fee based on a certain proportion of the amount of tax withheld; the specific methods shall be formulated by the State Tax Bureau.
- 第一百零四条：股东大会应当每年召开一次年会。有下列情形之一的，应当在二个月内召开临时股东大会： Article 104 The shareholders' general committee shall hold an annual meeting each year. An interim meeting of the shareholders' general committee shall be held within 2 months upon the occurrence of any of the following circumstances:
- 第一百零三条 有前条所列行为之一，情节轻微，不构成犯罪的，依照国家有关规定给予行政处罚。 Article 104 Whoever commits an act mentioned in the preceding paragraph, if the case is minor and does not constitute a crime, shall be given administrative punishment in accordance with relevant State regulations.
- 第一百零四条投资者应当在证券公司开立证券交易帐户，以书面、电话以及其他方式，委托为其开户的证券公司代其买卖证券。 Article 104. Investors shall open stock exchange accounts with securities companies, and in written form, by telephone, or through other means entrust the company with buying and selling securities for them.
- 第一百零五条：股东大会会议由董事会依照本法规定负责召集，由董事长主持。董事长因特殊原因不能履行职务时，由董事长指定的副董事长或者其他董事主持。召开股东大会，应当将会议审议的事项于会议召开三十日以前通知各股东。临时股东大会不得对通知中未列明的事项作出决议。 Article 105 A meeting of shareholders general committee shall be called by the board of directors in accordance with herewith, and shall be presided over by the chairman of the board. Where the chairman is unable to perform his duties due to any special reason, the meeting shall be presided over by the vice-chairman appointed by the chairman or another director appointed by the chairman. In order to hold a meeting of shareholders' general committee, notice concerning the matters to be considered at the meeting shall be given to each shareholder 30 days in advance. An interim meeting of shareholders' general committee may not adopt any resolution on matters not stated in the notice.
- 第一百零五条 保险公司及其工作人员在保险业务活动中不得有下列行为： Article 105 An insurance company and its employees shall not commit any of the following acts in the course of its business operation:
- 第一百零四条 金融机构工作人员在票据业务中玩忽职守，对违反本法规定的票据予以承兑、付款或者保证的，给予处分；造成重大损失，构成犯罪的，依法追究刑事责任。 Article 105 Any staff member of a financial institution who, through neglect of his duty, accepts, pays or guarantees a negotiable instrument which is at variance with the provisions of this Law, shall be given administrative sanction; if his act causes heavy losses and thus constitutes a crime, he shall be investigated for criminal responsibility according to law.
- 第一百零五条 纳税义务人或者扣缴义务人未按照规定接受税务机关检查的，或者未按照税务机关规定的期限缴纳滞纳金的，当地税务机关可以根据情节轻重，处以五千元以下的罚款。 Article 105 Local tax authorities may, according to the seriousness of the case, impose a fine of 5,000 yuan (RMB) or less on taxpayers or withholding agents that refuse to accept examination by the tax authorities in accordance with the relevant provisions or that refuse to pay late payment penalties within the time limit prescribed by the tax authorities.
- 第一百零五条债权人免除债务人部分或者全部债务的，合同的权利义务部分或者全部终止。 Article 105 Release Where the obligee released the obligor from performance in part or in whole, the rights and obligations under the contract are discharged in part or in whole.
- 第一百零五条证券公司根据投资者的委托，按照时间优先的规则提出交易申报，参与证券交易所场内的集中竞价交易；证券登记结算机构根据成交结果，按照清算交割规则，进行证券和资金的清算交割，办理证券的登记过户手续。 Article 105. Entrusted by investors, securities companies will file trading declarations based on the rule of time precedence, and participate in the collective trading through bidding at the stock exchange. The securities registration and account balancing institutions conduct stock clearing and delivery of securities and capital, and handle the procedures of security registration and transfer ownership based on transaction results and in accordance with the rules of clearing and delivery.
- 第一百零五条 票据的付款人对见票即付或者到期的票据，故意压票，拖延支付的，由金融行政管理部门处以罚款，对直接责任人员给予处分。 Article 106 If a drawer intentionally delays paying an instrument payable at sight or a matured instrument, the financial administrative department shall mete out a fine to the drawee and give administrative sanction to the person who is directly responsible.
- 第一百零六条债权和债务同归于一人的，合同的权利义务终止，但涉及第三人利益的除外。 Article 106 Merger of Rights and Obligations If the same party assumed all the rights and obligations under a contract, the rights and obligations thereunder are discharged, except where the contract involves the interests of a third person.
- 第一百零六条 商业保险的主要险种的基本保险条款和保险费率，由金融监督管理部门制订。 Article 106 The basic insurance clauses and premium rates for major types of commercial insurance shall be formulated by the financial supervision and regulation department.
- 第一百零六条 企业违反本细则第八十七条、第九十条第二款、第九十五条、第九十六条、第九十七条、第九十九条、第一百条、第一百零一条规定的，税务机关可以根据情节轻重，处以五千元以下的罚款。 Article 106 The tax authorities may, according to the seriousness of the case, impose a fine of 5,000 yuan (RMB) or less on an enterprise which violates the provisions of Article 87; Article 90, paragraph 2; Article 95; Article 96; Article 97; Article 99; Article 100 and Article 101 of these Rules.
- 第一百零六条：股东出席股东大会，所持每一股份有一表决权。 Article 106 When a shareholder attends the meeting of shareholders' general committee, each share he holds is entitled to one vote.
- 第一百零六条证券公司接受委托或者自营，当日买入的证券，不得在当日再行卖出。 Article 106. The securities companies, either entrusted or self?operating, shall not sell the securities on the same day they are purchased.
- 第一百零七条 税法第二十五条所说的偷税，是指纳税义务人有意违反税法规定，涂改、伪造、销毁票据、记账凭证或者账簿，虚列、多报成本、费用，隐瞒、少报应纳税所得额或者收入额，逃避纳税或者骗回已纳税款等违法行为。 Article 107 ""Tax evasion"" mentioned in Article 25 of the Tax Law means the illegal actions of a taxpayer who has intentionally violated the provisions of the Tax Law such as by: falsifying, altering or destroying account books, receipts or accounting vouchers; falsely itemizing or overstating costs and expenses; concealing or understating taxable income or receipts; or avoiding taxes or fraudulently recovering taxes already paid.
- 第一百零七条：修改公司章程必须经出席股东大会的股东所持表决权的三分之二以上通过。 Article 107 An amendment to the articles of association requires affirmative votes by at least two-thirds of the votes held by shareholders attending the meeting of shareholders' general committee.
- 第一百零七条 金融监督管理部门有权检查保险公司的业务状况、财务状况及资金运用状况，有权要求保险公司在规定的期限内提供有关的书面报告和资料。 Article 107 The financial supervision and regulation department shall have the authority to inspect the operations of an insurance company, including its financial position and application of funds and shall have the authority to request an insurance company to submit relevant written reports and information within a prescribed period of time.
- 第一百零七条当事人一方不履行合同义务或者履行合同义务不符合约定的，应当承担继续履行、采取补救措施或者赔偿损失等违约责任。 Article 107 Types of Liabilities for Breach If a party fails to perform its obligations under a contract, or rendered non-conforming performance, it shall bear the liabilities for breach of contract by specific performance, cure of non-conforming performance or payment of damages, etc.
