- 公司变更登记事项涉及修改公司章程的，应当提交修改后的公司章程或者公司章程修正案。 Where a company's change of registered items relates to amending the company's articles of association, the amended articles of association or the amendment of the articles of association shall be submitted.
- 采用数据电文形式订立合同的，收件人的主营业地为合同成立的地点；没有主营业地的，其经常居住地为合同成立的地点。当事人另有约定的，按照其约定。 Where a contract is concluded by the exchange of electronic messages, the recipient's main place of business is the place of formation of the contract; if the recipient does not have a main place of business, its habitual residence is the place of formation of the contract. If the parties have agreed otherwise, such agreement prevails.

- 境内金融机构未能在规定期限内完成发行的，其发行人民币债券的核准文件自动失效，且不得继续发行本期债券；如仍需发行的，应依据本暂行办法另行申请。 Where a financial institution within the territory of China fails to complete the issuance within the time limit as prescribed, the document relating to approving the issuance of RMB bonds shall be invalid automatically, and this issuance of bonds shall not be continued; if it is necessary to issue such bonds, a new application shall be separately submitted in accordance with the present Interim Measures.

- 外资企业在批准的范围内，进口本企业自用并为生产所需的物资，依照中国规定需要领取进口许可证的，应当编制年度进口计划，每半年向发证机关申领一次。 Where a foreign-capital enterprise has to import, in accordance with the approved scope of business, goods and materials for its own use and needed by its production and if, according to the pertinent provisions of China, it is necessary for the said enterprise to obtain import licenses, it shall work out an annual plan for importation, and apply, every six months, to the license-issuing organ for the licenses.
- 基金管理公司申请募集基金，应当根据有关法律法规规定提交申请材料。 Where a fund management company applies for raising a fund, it shall submit the application materials in accordance with related laws and regulations.
- 股份有限公司经股东大会决议将公积金转为资本时，按股东原有股份比例派送新股或者增加每股面值。但法定公积金转为资本时，所留存的该项公积金不得少于注册资本的百分之二十五。 Where a joint stock limited company, upon adoption of a resolution by the shareholders' general committee, is to convert the reserve funds into company capital, new shares shall be distributed to the shareholders in proportion to their original share holdings, or the par value of each share shall be increased. - 两个以上的国有企业或者其他两个以上的国有投资主体投资设立的有限责任公司，其董事会成员中应当有公司职工代表。董事会中的职工代表由公司职工民主选举产生。 Where a limited liability company has been established through investment by two or more state-owned enterprises, or by two or more state-owned investment entities of other kinds, there shall be representative(s) of the workers of the company on the board of directors. The representative(s) of the workers on the board shall be democratically elected by the workers of the company.
- 清算组成员利用职权徇私舞弊、谋取非法收入或者侵占公司财产的，责令退还公司财产，没收违法所得，并可处以违法所得一倍以上五倍以下的罚款。构成犯罪的，依法追究刑事责任。 Where a member of the liquidating committee abuses his authority to engage in fraudulent activity for private gain, to obtain illegal income or convert company assets, such member shall be ordered to return the company assets, and the illegal income shall be confiscated, and such member may be fined not less than 2 times but not more than 5 times the illegal income. Where such action constitutes a crime, criminal liability shall be imposed in accordance with the law.
- 经营者对消费者提供商品或者服务有欺诈行为的，依照《中华人民共和国消费者权益保护法》的规定承担损害赔偿责任。 Where a merchant engages in any fraudulent activity while supplying goods or services to a consumer, it is liable for damages in accordance with the Law of the People's Republic of China on Protection of Consumer Rights.
- 未经其他合伙人一致同意，合伙人以其在合伙企业中的财产份额出质的，其行为无效，或者作为退伙处理；由此给其他合伙人造成损失的，依法承担赔偿责任。 Where a partner pledges his share of property in the partnership without unanimous consent by all the partners, such act shall be invalid, or be treated as withdrawal from the partnership; If any loss is caused to the other partners, such partner shall be liable for damages in accordance with the law.
- 当事人对税务机关的处罚决定、强制执行措施或者税收保全措施不服的，可以在接到处罚通知之日起或者税务机关采取强制执行措施、税收保全措施之日起十五日内向作出处罚决定或者采取强制执行措施、税收保全措施的机关的上一级机关申请复议；对复议决定不服的，可以在接到复议决定之日起十五日内向人民法院起诉。当事人也可以在接到处罚通知之日起或者税务机关采取强制执行措施、税收保全措施之日起十五日内直接向人民法院起诉。复议和诉讼期间，强制执行措施和税收保全措施不停止执行。 Where a party concerned objects to a sanction decision made by the tax authorities or to the mandatory measures or measures for retaining tax revenue implemented by the same, it may, within 15 days from the date of receipt of the sanction notice or the date the tax authorities implement the mandatory measures or measures for retaining tax revenue, apply for a reconsideration to the authorities one level higher than the authorities which have made the sanction decision or implemented the mandatory measures or measures for retaining tax revenue. If the party concerned objects to the decision made upon reconsideration, it may, within 15 days from the date of receipt of the reconsideration decision, institute legal proceedings with the People's Court. Alternatively, the party concerned may, within 15 days from the date of receipt of the sanction notice or the date the tax authorities implement the mandatory measures or measures for retaining tax revenue, institute legal proceedings directly with the People's Court. In the course of making a reconsideration and instituting legal proceedings, the mandatory measures or measures for retaining tax revenue shall not cease to be implemented
- 当事人一方发现前款规定的可能致使研究开发失败或者部分失败的情形时，应当及时通知另一方并采取适当措施减少损失。没有及时通知并采取适当措施，致使损失扩大的，应当就扩大的损失承担责任。 Where a party discovers any circumstance which may lead to the failure of the development in whole or in part as described in the previous paragraph, it shall timely notify the other party and take the appropriate measures to mitigate loss; where the party failed to timely notify the other party and take the appropriate measures, thereby causing further loss, it shall be liable for such further loss.
- 合作开发的当事人一方声明放弃其共有的专利申请权的，可以由另一方单独申请或者由其他各方共同申请。申请人取得专利权的，放弃专利申请权的一方可以免费实施该专利。 Where a party in the cooperative development declares a waiver of its joint patent application right, the other party may apply by itself, or the other parties may jointly apply, as the case may be. Where a patent is granted on the invention/innovation, the party waiving its patent application right may exploit such patent free of charge.
